Terms and Conditions – Unimax Export India
1. Acceptance of Terms
By accessing this website, sending an inquiry, placing an order, or entering into any commercial transaction with Unimax Export India (“Company”, “We”, “Us”, “Our”), the buyer or client (“You”) agrees to be bound by these Terms and Conditions. Unimax Export India is an Indian export company engaged in the sourcing, supply, and export of products including but not limited to spices, tea, and related agricultural or food products for international markets.
2. Product Specifications
All product specifications such as grade, quality, moisture level, packaging, labeling, quantity, and pricing shall be finalized only through mutual written agreement prior to order confirmation.
3. Samples & Product Representation
Any samples, photographs, or product descriptions provided are for reference purposes only unless expressly agreed in writing as binding standards.
4. Natural Variations
Minor variations in color, aroma, texture, or appearance arising from natural, agricultural, or processing factors shall not be considered defects or grounds for rejection.
5. Product Sourcing
Unimax Export India may source products through approved growers, processors, or suppliers based on buyer requirements and agreed specifications.
6. Import Compliance Responsibility
Compliance with import regulations, food safety laws, labeling requirements, and other statutory obligations in the destination country shall remain the sole responsibility of the buyer, unless otherwise agreed in writing.
7. Private Label & Branding Responsibility
In cases involving private label or buyer branding, the buyer confirms that they hold all necessary rights, approvals, and authorizations for the use of such brand, trademark, or label.
8. Indemnification for Branding
The buyer agrees to fully indemnify and hold Unimax Export India harmless against any claims, losses, penalties, or disputes arising from branding, labeling, intellectual property rights, or regulatory non-compliance.
9. Pricing Basis
All prices are quoted based on agreed product specifications, quantity, packaging, applicable Incoterms (latest ICC version), and prevailing market conditions.
10. Price Validity
Prices are subject to change until final written order confirmation.
11. Payment Terms
Payment terms shall be as mutually agreed in writing. All bank charges outside India shall be borne by the buyer.
12. Delayed Payments
Delayed payments may result in shipment delays, suspension of future orders, or other appropriate commercial action.
13. Incoterms & Risk Transfer
All shipments shall be executed strictly as per the agreed Incoterms, and risk shall transfer as defined under the applicable Incoterm.
14. Logistics Liability
Unimax Export India shall not be liable for delays, losses, or damages caused by shipping lines, freight forwarders, port authorities, customs authorities, or other third-party logistics providers.
15. Insurance Responsibility
Cargo insurance shall be the buyer’s responsibility unless otherwise agreed in writing.
16. Delivery Timeline
Delivery timelines provided are estimates only and shall not be treated as guaranteed.
17. Force Majeure
Unimax Export India shall not be held liable for delays or non-performance caused by events beyond reasonable control, including natural disasters, strikes, pandemics, government actions, or export/import restrictions.
18. Inspection at Destination
The buyer is responsible for inspecting the goods immediately upon arrival at the destination.
19. Claims & Notice Period
Any claims related to quality, quantity, or condition must be communicated in writing within seven (7) days of delivery, supported by documentary evidence.
20. Claim Exclusions
No claims shall be accepted once the goods have been used, resold, repacked, processed, or mixed with other goods.
21. Order Cancellation
Confirmed orders cannot be cancelled or modified without written consent from Unimax Export India.
22. Cancellation Costs
Any costs incurred prior to cancellation or modification shall be borne by the buyer.
23. Post-Confirmation Changes
Changes requested after order confirmation may result in revised pricing, specifications, and delivery timelines.
24. Limitation of Liability
The total liability of Unimax Export India, if any, shall be strictly limited to the invoice value of the goods supplied.
25. Exclusion of Consequential Loss
Under no circumstances shall Unimax Export India be liable for indirect, incidental, or consequential damages, including loss of profit, loss of market, or business interruption.
26. Export Documentation
All export documentation shall be provided as mutually agreed at the time of order.
27. Special Certifications
Any special certifications, laboratory reports, or additional documents shall be provided only if agreed in advance.
28. Confidentiality
All commercial information, pricing, sourcing details, and documentation exchanged between the parties shall be treated as confidential.
29. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India.
30. Jurisdiction
All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
31. Amendments
Unimax Export India reserves the right to modify or update these Terms and Conditions at any time without prior notice. Updated terms shall become effective upon publication on the website.
